Terms of Service

Legal agreement governing the use of Aquil Safety services, technology, and platforms.

Agreement

By accessing or using Aquil Safety services, dashboards, APIs, or any related technology ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Services.

Services

Aquil Safety provides contract-based safety technology services to campuses, public spaces, and high-risk facilities. Access to and use of the Services is governed by both these Terms and any executed commercial agreement between your organization and Aquil Safety. In the event of a conflict, the executed agreement controls.

Accounts

Access to the Aquil Safety dashboard and APIs requires an authorized account. Account holders are responsible for:

  • Maintaining the confidentiality of their credentials
  • All activity that occurs under their account
  • Notifying Aquil Safety promptly of any unauthorized use or suspected security breach

API credentials

API access may require organization-issued API keys in addition to or instead of interactive user sessions, depending on integration scope. You are responsible for:

  • Protecting API keys as confidential credentials
  • Rotating and revoking keys when personnel, systems, or risk posture changes
  • Limiting key distribution to authorized systems and personnel
  • Promptly reporting suspected key compromise through your contractual security contact path

You must not share API keys across organizations or use keys outside approved environments.

Acceptable use

Use of the Services is subject to the Acceptable Use Policy. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Resell, sublicense, or otherwise redistribute access to the Services without written authorization

Intellectual property

Aquil Safety retains all rights, title, and interest in and to the Services, including all underlying technology, software, models, and documentation. These Terms do not grant you any ownership interest in the Services.

Data and privacy

Aquil Safety's collection, use, and protection of personal data is described in the Privacy Notice. By using the Services, you acknowledge the data practices described therein.

Clients remain responsible for ensuring their use of the Services complies with applicable data protection, privacy, and security laws, including any obligations related to the personal data of individuals captured or processed through the Services.

For security, abuse prevention, and audit purposes, API and dashboard activity may be logged with request metadata, including source IP address and API credential usage metadata as described in the Privacy Notice.

Disclaimers

The Services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by applicable law, Aquil Safety disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Advisory outputs, alerts, and detections produced by the Services are intended to support—not replace—human judgment and emergency response procedures. Aquil Safety does not guarantee the accuracy or completeness of any detection or alert.

Limitation of liability

To the maximum extent permitted by law, Aquil Safety's total cumulative liability arising out of or related to these Terms or the Services shall not exceed the amounts paid by the client in the twelve (12) months preceding the claim. In no event shall Aquil Safety be liable for indirect, incidental, special, consequential, or punitive damages.

Termination

Aquil Safety may suspend or terminate access to the Services for violation of these Terms, non-payment, or as required by law. Termination provisions in an executed agreement shall also apply.

Governing law

These Terms are governed by the laws of the jurisdiction specified in your executed agreement, without regard to conflict-of-law principles.

Changes to these Terms

Aquil Safety may update these Terms from time to time. Material changes will be communicated through your contractual contact path. Continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms.
